Terms of Service — Pulse D2D
These Terms of Service ("Terms") are a legal agreement between Sharif Technologies, Inc. ("Sharif Technologies," "we," "our," or "us") and the organization and individual users ("you") that access or use the Service. By creating an account, accessing, or using the Service, you agree to these Terms. If you are entering into these Terms on behalf of an organization, you represent that you have authority to bind that organization.
1. The Service
Pulse D2D is a business software platform used by solar sales organizations to manage leads, appointments, deals, commissions, communications, and field operations. The Service is provided to businesses and their authorized personnel for internal business use only. We may add, change, or remove features at any time.
2. Accounts & Eligibility
- You must be at least 18 years old and authorized by your organization to use the Service.
- Accounts are provisioned and managed by your organization's administrators, who control role-based access and may suspend or remove your access.
- You are responsible for maintaining the confidentiality of your credentials and for all activity under your account.
3. Subscriptions, Plans & Billing
- Paid plans are billed per active seat on the cycle selected at checkout (monthly or annual), plus any add-ons (such as additional market/state access or white-label).
- Fees are charged in advance and are non-refundable except where required by law. A free tier and free trials may be offered and modified at our discretion.
- Failed payments may result in restricted or read-only access after a grace period. You may cancel at any time; access continues through the paid period.
- We may change pricing on renewal with reasonable notice.
4. Your Data & Responsibilities
Your organization retains ownership of the data it submits to the Service ("Customer Data"). You grant us a limited license to host, process, and transmit Customer Data solely to provide and improve the Service. You are responsible for the accuracy and legality of Customer Data and for obtaining all necessary consents from the individuals it describes (including prospective customers).
Text messages sent by Sharif Technologies itself are governed by our SMS Terms & Messaging Policy, which describe our two programs and how consent is collected on our Contact Customer Care form (service messages) and Book a Demo form (marketing messages).
5. Acceptable Use
You agree not to: (a) use the Service to send unlawful, harassing, or unsolicited communications; (b) contact numbers on applicable Do-Not-Call registries without a lawful basis; (c) upload malware or attempt to breach security or access another organization's data; (d) reverse engineer, resell, or sublicense the Service except as expressly permitted; or (e) use the Service to violate any law or third-party right.
6. Intellectual Property
The Service, including its software, design, and trademarks (including "Pulse D2D" and "PulseD2D"), is owned by Sharif Technologies and protected by intellectual-property laws. These Terms grant you a limited, non-exclusive, non-transferable right to use the Service during your subscription. See our Copyright & Data Protection notice.
7. Third-Party Services
The Service integrates with third-party providers (for example, Google, mapping, telephony, financing, and installer platforms). Your use of those services is governed by their own terms, and we are not responsible for their acts or omissions.
Connected calendars. When you connect a calendar to Pulse D2D (for example, Google Calendar, Microsoft 365, a calendar subscription address, or your device's calendar), you authorize us to read your availability and to add, update, and remove the appointment events you create through the Service on that calendar, as described in our Privacy Policy, and you confirm you are permitted to connect it (for example, under your employer's or organization's policies). Calendar features depend on the third-party provider's availability and may be interrupted, limited, or changed by that provider.
8. Disclaimers
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. We do not warrant that the Service will be uninterrupted or error-free, and we do not provide legal, tax, or financial advice.
9. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, SHARIF TECHNOLOGIES WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR LOST PROFITS OR DATA. OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF THESE TERMS OR THE SERVICE WILL NOT EXCEED THE AMOUNTS PAID BY YOUR ORGANIZATION FOR THE SERVICE IN THE 12 MONTHS BEFORE THE CLAIM.
10. Indemnification
You will indemnify and hold harmless Sharif Technologies from claims arising out of your Customer Data, your communications with consumers, or your violation of these Terms or applicable law.
11. Termination
We may suspend or terminate access for violation of these Terms or non-payment. On termination, your right to use the Service ends. Your organization may export Customer Data before termination; we may delete Customer Data after a reasonable period, subject to legal retention requirements.
12. Governing Law & Disputes
These Terms are governed by the laws of the State of Texas, without regard to conflict-of-law rules. The exclusive venue for disputes is the state and federal courts located in Travis County, Texas, unless otherwise required by applicable law.
13. Changes to These Terms
We may update these Terms from time to time. Material changes will be posted on this page with an updated Effective Date, and your continued use of the Service after changes take effect constitutes acceptance.
